These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and PipelineScout, Inc. ("PipelineScout," "we," "us," or "our") governing your access to and use of the PipelineScout platform, including our website at pipelinescout.io, our web application, APIs, and all related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.
If you are using the Service on behalf of a business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" and "your" will refer to both you individually and that entity.
You must be at least 18 years old and capable of forming a legally binding contract to use the Service.
PipelineScout is a construction lead intelligence platform designed to help specialty contractors and tradespeople identify, track, and act on early-stage construction opportunities. The Service provides:
The Service aggregates information from public sources including municipal permit databases, county records, news publications, and other publicly accessible sources. PipelineScout does not guarantee the accuracy, completeness, or timeliness of any lead data. All information should be independently verified before acting upon it commercially.
We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice, and we will not be liable to you or any third party for any such modification, suspension, or discontinuation.
To access the Service, you must register for an account. When registering, you agree to:
We use passwordless authentication (magic links sent to your email address). You are responsible for maintaining access to the email address associated with your account. If you lose access to that email address, you may lose access to your PipelineScout account.
We reserve the right to refuse registration, terminate accounts, or remove content at our sole discretion if we believe a violation of these Terms has occurred.
You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including removing offending content, terminating accounts, and reporting violators to law enforcement authorities.
Subscription Plans. PipelineScout offers a free tier and paid subscription plans ("Pro" and "Team"). Paid plans are billed on a monthly recurring basis. Current pricing is displayed on our pricing page and may be updated from time to time with notice.
Free Plan. The free plan is subject to usage limitations as described on our pricing page. We reserve the right to modify or discontinue free plan features at any time.
Billing. By subscribing to a paid plan, you authorize us to charge your provided payment method on a recurring monthly basis. All payments are processed through our third-party payment processor (Stripe). Your payment information is not stored on PipelineScout's servers.
Cancellation. You may cancel your subscription at any time through your account settings. Upon cancellation, your paid plan access will continue through the end of your current billing period. No refunds are issued for partial months.
Refunds. All subscription fees are non-refundable except where required by applicable law. If you believe a charge was made in error, contact us at billing@pipelinescout.io within 30 days of the charge.
Price Changes. We will provide at least 30 days' notice before changing subscription prices. Your continued use of a paid plan after a price change constitutes acceptance of the new pricing.
Taxes. All prices are exclusive of applicable taxes. You are responsible for paying any applicable sales, use, value-added, or similar taxes.
Your privacy is important to us. Our collection, use, and sharing of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. You represent that any data you submit to or through the Service — including project notes, contact information, and company details — does not violate any third party's rights, including intellectual property rights and privacy rights.
We implement commercially reasonable security measures to protect your data. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.
Our Property. The Service and all content, features, and functionality thereof — including but not limited to the software, code, design, text, graphics, logos, icons, and compilation of publicly sourced data — are and remain the exclusive property of PipelineScout, Inc. and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.
License to Use. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. This license does not include the right to resell or make commercial use of the Service or its content; collect or use any product listings, descriptions, or lead data for the benefit of third parties; or make any derivative use of the Service or its content.
Your Content. You retain ownership of any content you upload, post, or submit to the Service ("User Content"), including notes, contacts, and custom lead data. By submitting User Content, you grant PipelineScout a worldwide, non-exclusive, royalty-free license to use, reproduce, and display that content solely as necessary to provide and improve the Service.
Feedback. If you provide us with suggestions, ideas, or feedback about the Service, you grant us the right to use such feedback without restriction and without compensation to you.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Lead data is aggregated from publicly available sources and is provided for informational purposes only. You are solely responsible for independently verifying any information before relying on it for business decisions. PipelineScout is not liable for any business outcome, lost contract, or missed opportunity arising from your use of or reliance on Service data.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PIPELINESCOUT, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
IN ALL CASES, PIPELINESCOUT'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO PIPELINESCOUT IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. Accordingly, some of the above limitations may not apply to you.
You may terminate your account at any time by contacting us at support@pipelinescout.io or through your account settings. Upon termination, your right to use the Service will immediately cease.
We may suspend or terminate your account and access to the Service at our sole discretion, with or without cause, and with or without notice, if we believe you have violated these Terms or if continued operation would harm PipelineScout, other users, or third parties.
Upon termination for any reason:
Termination does not entitle you to any refund of prepaid subscription fees.
We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email (to the address associated with your account) and by displaying a prominent notice within the Service at least 14 days before the changes take effect.
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service before the changes take effect.
We will maintain a version history of these Terms and make prior versions available upon request.

These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Duval County, Florida, and you consent to the exclusive jurisdiction of such courts.
